Shareholders wishing to take part in the General Meeting are requested to order their admission card. This may either be done in writing (by filling in and signing the response card received together with the invitation and returning it to sharecomm AG, SNB 2025 General Meeting, P.O. Box, 6010 Kriens 2, Switzerland) or electronically (by means of their user account on the sharecomm AG online platform). The final deadline for ordering the admission card electronically is 12 noon on 23 April 2025.

Any shareholder listed in the share register is eligible to attend the General Meeting of Shareholders (art. 37 para. 1 NBA). Persons listed as shareholders in the share register on 17 April 2025 and whose shares are not removed from the register before the General Meeting are entitled to participate. Only those recognition requests received by the share register office before 9 am on 16 April 2025 will be processed.

The SNB will recognise only one representative for each share (art. 3 Regulations on the recognition and representation of shareholders of the Swiss National Bank).

From 7 April 2025

Agenda items with proposals by shareholders must be signed by at least 20 shareholders and submitted to the President of the Bank Council in writing in due time (art. 35 para. 2 NBA). The submission must reach the SNB no later than 3 February 2025.
No decisions shall be passed with respect to proposals on agenda items which have not been announced in the invitation (art. 35 para. 3 NBA).

Beatrice Stuber-Jordi, Notary, or, should she be unable to attend, Nicole Bühler, Notary (both Bernernotariat AG - Notary's Office Stuber-Jordi, Thunstrasse 72, 3074 Muri bei Bern), will once again act as independent Proxy in accordance with art. 689c of the Code of Obligations.

Shareholders wishing to be represented by the independent proxy may either grant their power of attorney and instructions in writing, using the appro¬priate forms, or electronically via the sharecomm AG online platform. The final deadline for granting power of attorney and instructions is 12 noon on 23 April 2025.

The independent proxy shall not disclose the distribution of the votes until the vote at the General Meeting of Shareholders has taken place and shall not provide the SNB with any information in this regard.

The independent proxy abstains from voting if they are granted powers of attorney without instructions.

Signed response cards submitted to the SNB that do not include individual statements of participation and do not designate a representative will be forwarded to the independent proxy if they are linked to voting instructions. If they are not linked to voting instructions, they will be considered as an individual registration of the respective shareholders.

Documents required for representation at the General Meeting of Shareholders by the independent proxy

For a legal entity to be represented at the General Meeting of Shareholders by the independent proxy, the following documents are required:

• Signed power of attorney with the name and role of the representative;
• Signed instructions;
• Documents (copies) testifying to the role of the representative, for example:
  • Commercial register extract or
  • By-laws and letters of appointment (e.g. extracts from minutes or resolutions) as well as supporting documents regarding authority to sign (e.g. business, organisation or signing authority regulations) or a valid and legally enforceable power of attorney in favour of the representative.

The independent proxy checks whether, based on the documents submitted, the independent proxy has been duly authorised by the shareholder.

Any shareholder may authorise in writing another shareholder to represent them at the General Meeting of Shareholders (art. 37 para. 2 NBA).

Shareholders wishing to be represented at the General Meeting by another shareholder are requested to designate their representative on the response card.

Legal entities participate in the General Meeting of Shareholders through their legal representative. Members of the respective management bodies of legal entities are deemed to be their legal representatives. It is also possible for legal entities to participate through employees who hold an equivalent position.

Documents required for participating in the General Meeting of Shareholders

In the case of participation by the legal representative or employees with an equivalent position, the following are required:

• Admission card with the name and role of the representative;
• Documents (copies) testifying to the role of the representative, for example:
  • Commercial register extract or
  • By-laws and letters of appointment (e.g. extracts from minutes or resolutions) as well as supporting documents regarding authority to sign (e.g. business, organisation or signing authority regulations);
• Valid official ID of the representative (identity card, passport or driving licence).

Representatives of legal entities must present the above-mentioned documents on site on the day of the General Meeting.

Legal entities not entered in the commercial register are advised to submit the relevant supporting documents for verification in advance to the Swiss National Bank, Michael Knödler, Bundesplatz 1, P.O. Box, 3003 Berne, or by email to michael.knoedler@snb.ch.

The invitation to the General Meeting of Shareholders and notifications to shareholders are communicated by letter to the addresses listed in the share register and by one-off publication in the Swiss Official Gazette of Commerce (art. 28 NBA).

The General Meeting of Shareholders approved the financial report for 2024 with 53,763 votes in favour out of 55,011 represented votes. There were 165 votes against and 987 abstentions.

The General Meeting of Shareholders approved the payment of a dividend totalling CHF 1.5 million to shareholders with 54,018 votes in favour out of 55,001 represented votes. There were 254 votes against and 594 abstentions.

The General Meeting of Shareholders granted discharge to the Bank Council with 53,388 votes in favour out of 54,493 represented votes. There were 349 votes against and 637 abstentions.

The General Meeting of Shareholders appointed KPMG Ltd as the External Auditor for the 2025-2026 term of office with 52,678 votes in favour out of 54,494 represented votes. There were 915 votes against and 717 abstentions.

The share capital of the SNB amounts to CHF 25 million and is divided into 100,000 registered shares with a nominal value of CHF 250 each. The shares are fully paid up (art. 25 para. 1 NBA).

The SNB shares are listed on SIX Swiss Exchange, the Swiss stock exchange.

Due to the legally stipulated maximum dividend of 6%, the price of the SNB share usually develops along similar lines to a long-term Confederation bond with a 6% coupon.

The taxable value of the SNB share for 2024 amounts to CHF 3,190.00.

Dividend amount

Subject to the Annual General Meeting's approval of the proposed profit appropriation, a dividend not exceeding 6% of the share capital is to be paid from net profit (art. 31 para. 1 NBA). The dividend is CHF 15.00 (gross) and CHF 9.75 (net) per share, after deduction of withholding tax.

Shares purchased up to the ex-dividend date (29 April 2025) are eligible to receive the dividend payable on 2 May 2025.
